Merging of Samsung C&T Corporation and Cheil Fabric was approved on the 17th at the share holders general meeting. The proposal was accepted but it's too early to be relieved. That is due to the problems that lie ahead such as the appraisal right and Elliot Management's legal battle. The share holders who have opposed before the general meeting are able to appeal their stance from the 17th to the 6th of next month. 삼성물산-제일모직 합병 성공…여러가지 난제 대기

삼성물산-제일모직 합병이 지난 17일 열린 주주총회에서 가결됐다. 합병안이 통과됐지만 안심할 수 없다. 주식매수청구권, 앨리엇매니지먼트와의 법정 공방 등 쉽지 않은 이슈가 기다리고 있기 때문이다. 주총에 앞서 반대의사를 통보한 주주들은 지난 17일부터 다음달 6일까지 주식매수청구권을 행사할 수 있다.

엘리엇은 우선주 합병비율 임의적 산정, 자사주 처분 등을 문제삼아 주총결의 무효소송을 제기할 가능성이 있다.
